Terms and Conditions for Use of the RecoverIQ™ App

Effective Date: June 17th, 2025

Welcome to RecoverIQ™, a web-based application developed and owned by RecoverIQ Foundation LLC
(hereafter referred to as “the Company,” “we,” “us,” or “our”). By accessing or using the RecoverIQ™ app
(the “App”), you agree to comply with and be bound by the following terms and conditions (the “Terms”). If
you do not agree to these Terms, please do not use the App.

1. Eligibility

• You must be 18 years of age or older to access the RecoverIQ™ app. If you are under the age of 18, a
  parent or legal guardian must subscribe on your behalf. By subscribing, the parent or legal guardian
  agrees to be bound by these Terms and takes full responsibility for the minor’s use of the App.

2. Account Registration

• To access certain features of the App, you will be required to register for an account. You agree to
  provide accurate, current, and complete information during the registration process and update such
  information to keep it accurate.

3. Services and Features

• The RecoverIQ™ app offers a variety of services, including but not limited to:
  • Recovery tools,
    educational resources, and wellness content.
  • Subscription-based access to premium courses,
    ebooks, audiobooks, and other recovery-related materials.
  • In-app rewards through PATRIQ™ tokens for completing tasks such as check-ins, journaling,
    and attending meetings.
  • Affiliate marketing programs, referral incentives, and fundraising opportunities.
    These services and features are provided for educational and informational purposes only and are not intended
    to replace professional medical, mental health, or recovery treatment.

4. Subscription and Payments

• Subscription Plans: Users can subscribe to the RecoverIQ™ app on a monthly or annual basis. All subscription fees are outlined on the App and may be updated from time to time.
• Payment Method: By subscribing, you agree to pay the subscription fee associated with your selected
  plan using the payment method provided.
• No Refund Policy: All subscription payments are non-refundable. However, you can cancel your subscription at any time via your account settings. Canceling your subscription will stop future charges but will not entitle you to a refund for any previous charges.
• Refer A Friend: Users who refer friends to the app will earn PATRIQ™ tokens or other rewards as specified in the App. The referral program is subject to change at any time.

5. RecoverIQ™ – Sales Tax Compliance Statement

• RecoverIQ™ Foundation LLC is a Wisconsin-based company and operates in accordance with all
  applicable sales tax laws and regulations.
• Digital Products:
  No sales tax is collected on digital-only products that are included as part of a paid subscription. These
  include non-downloadable and downloadable materials (such as eBooks, audiobooks, digital journals,
  and educational courses) accessed through the RecoverIQ™ web-based platform. These materials are
  provided for educational purposes and are included in the subscription fee as part of the overall service,
  and thus are not treated as taxable standalone items.
  However, if any digital product is sold separately in the RecoverIQ™ digital store — outside of the
  subscription service — it is treated as a taxable retail transaction in states such as Wisconsin where
  digital downloads are subject to sales tax.
• Physical Goods:
  If a customer purchases physical merchandise (e.g., printed books, apparel, or accessories) that is shipped
  to a location where sales tax is required by law, the applicable state and local sales tax will be calculated
  and displayed at checkout.
• Discounts and Tokens:
  When reward tokens or promotional discounts are applied to a purchase, sales tax will be calculated
  based on the final amount paid in fiat currency, in accordance with applicable tax laws.
• Shipping Responsibility:
  Customers are responsible for providing accurate shipping address information to ensure correct tax
  calculation based on the delivery location.
• Tax Compliance Review:
  RecoverIQ™ Foundation LLC regularly monitors its tax obligations and will update its sales tax
  collection procedures in compliance with economic nexus laws in Wisconsin and other jurisdictions.

6. PATRIQ™ Token

• Utility Token: PATRIQ™ is a non-financial, service-based utility token issued exclusively for
  activities completed within the App, including educational modules, check-ins, and habit tracking.
• Non-tradable: PATRIQ™ tokens are not tradable for fiat currency and cannot be transferred for use on
  external exchanges. They are solely redeemable within the App for premium content and in-app purchases.
• Earning PATRIQ™: Tokens can be earned by completing various tasks and activities within the App,
  including daily check-ins, journaling, attending meetings, and referring friends.
  “PATRIQ™ tokens are not listed on any public exchange, including Pancake Swap, for trading or speculation.
  RecoverIQ™ strictly prohibits trading or listing PATRIQ™ tokens on decentralized exchanges or other
  secondary markets. Tokens are designed solely for inapp use.”
  “While PATRIQ™ tokens may be transferred to approved external wallets for display purposes, such
  tokens cannot be traded, sold, or listed on secondary markets. Any attempt to trade PATRIQ™ outside the
  RecoverIQ™ ecosystem violates the Terms of Service and may result in loss of token utility.”
  “RecoverIQ™ has allocated a portion of PATRIQ™ tokens to its team for operational purposes. These
  tokens are subject to a 12-month vesting schedule and are not intended for speculative trading. Team
  allocations do not confer rights to dividends, profits, or equity ownership, and no public sale of team tokens
  is planned.”
  “PATRIQ™ tokens earned through subscriptions are loyalty rewards with in-app utility only. Subscriptions
  are not investments, and RecoverIQ™ does not guarantee any increase in the value of tokens.”
  “RecoverIQ™’s referral program provides tokens strictly as rewards for promoting user engagement. PATRIQ™
  tokens are not financial instruments and hold no monetary value outside the RecoverIQ™ app.”
  “PATRIQ™ tokens associated with accounts inactive for 12 consecutive months may be reclaimed by
  RecoverIQ™. Users with verified ongoing recovery programs may request exceptions. Clawbacks ensure
  the token economy remains active and fair.”
  “Important Legal Notice
  PATRIQ™ tokens are designed solely for use within the RecoverIQ™ ecosystem. They do not represent
  financial investments, shares, or securities. No expectation of profit, appreciation in value, or financial
  return is offered or implied. PATRIQ™ tokens cannot be traded on public exchanges or converted into fiat
  currency.
  The information provided in this document and related materials is for informational purposes only and
  does not constitute legal, financial, or investment advice. The legal status of digital assets, including utility
  tokens, is evolving. RecoverIQ™ makes no guarantees that regulatory agencies will agree with its
  classification of PATRIQ™ as a utility token.
  Any transfer of PATRIQ™ tokens outside of the RecoverIQ™ app ecosystem, including transfers to
  decentralized exchanges or public trading platforms, is strictly prohibited and may result in loss of token
  utility and account suspension.”

7. Affiliate and Marketing Program

• Users may participate in the App’s Affiliate Program, where they can promote the RecoverIQ™ app and earn rewards for successful referrals.
• By becoming an affiliate, you agree to promote the RecoverIQ™ app in a manner that complies with
  all applicable laws and regulations.
• The Company reserves the right to suspend or terminate affiliate accounts for any unethical or illegal
  promotional practices.

8. Privacy and Data Protection

• Privacy Policy: Your use of the App is governed by our Privacy Policy, which outlines how we
  collect, use, and protect your personal information. By using the App, you agree to the terms of the
  Privacy Policy.
• Analytics and Product Improvement: We may collect and use personal information, including usage
  data and interactions with the App, for the purpose of improving our services, enhancing user
  experience, analytics, and expanding our product offerings. This data may include, but is not limited
  to, data on how users interact with the App, what features are used, and how often the App is accessed.
  This information helps us identify areas for improvement and develop new features for the App.
• Sharing of Data: We do not sell or share your personal information with third parties for marketing
  purposes. However, we may share anonymized or aggregated data with third-party service providers to
  improve the App’s functionality and user experience.

9. Income Disclaimer

• No Guarantees of Income or Recovery: The RecoverIQ™ app and its affiliates do not guarantee any
  specific outcome, including but not limited to income generation, recovery from addiction, or healing
  from mental health issues.
• The services provided by RecoverIQ™ are for educational purposes only. The App does not provide
  medical, psychological, or treatment-based advice and should not be relied upon as such.
• Recovery outcomes vary from individual to individual. The app’s content and rewards are meant to
  support, but not replace, professional recovery treatment.

10. Limitation of Liability

• Acts of God: The Company is not responsible for any delays, damages, or failures resulting from
  causes beyond our control, including, but not limited to, acts of God, natural disasters, pandemics, or
  any other events outside the Company’s reasonable control.
• No Liability for External Services: The RecoverIQ™ app may contain links to third-party websites
  or services. We are not responsible for the content or practices of any third-party website or service.

11. Termination of Access

• The Company reserves the right to suspend or terminate your access to the App at any time if you violate
  these Terms or engage in illegal, unethical, or inappropriate behavior.

12. Disclaimers

• No Medical or Recovery Claims: The RecoverIQ™ app is not intended to diagnose, treat, or cure
  any medical conditions, including addiction or mental health issues. Any recovery-related claims made
  on the platform are based on personal testimonials and do not guarantee specific results.
• Legal Jurisdiction: These Terms are governed by the laws of the State of Wisconsin, United States,
  without regard to its conflict of law principles. Any disputes arising from these Terms will be resolved
  in the competent courts located in Wisconsin.

13. Release of Information for Public Testimonials or Reviews

• By submitting testimonials, reviews, or feedback, you grant RecoverIQ™ Foundation LLC
  permission to use your name, testimonial, review, or other feedback for marketing, promotional, or
  public relations purposes. This may include, but is not limited to, publishing on the website, social
  media platforms, and other public channels.
• No Compensation: You acknowledge and agree that you will not receive any compensation for the use
  of your testimonial, review, or feedback, and you waive any rights to royalties or other payments
  arising from the use of this content.

14. Indemnification

• You agree to indemnify, defend, and hold harmless RecoverIQ™ Foundation LLC, its officers,
  directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses
  (including attorneys’ fees) arising from your use of the App, your breach of these Terms, or your
  violation of any applicable laws.

15. Copyright and Intellectual Property

• All intellectual property rights, including but not limited to copyright, trademark, and patent rights, in the
  RecoverIQ™ app and its contents, including PATRIQ™ tokens, logos, educational materials, and
  software, are the exclusive property of RecoverIQ™ Foundation LLC. Unauthorized use of these
  materials is prohibited.

16. Force Majeure

• The Company shall not be liable for any failure or delay in performance due to causes beyond its
  reasonable control, including but not limited to acts of God, war, terrorism, pandemics, governmental
  restrictions, or technical failures.

17. Dispute Resolution / Arbitration

• Any dispute, controversy, or claim arising out of or in connection with these Terms shall be resolved
  through binding arbitration, to be held in Wisconsin, under the rules of the American Arbitration
  Association.

18. Cookies and Tracking Technologies

• The App may use cookies and other tracking technologies to enhance your experience. By using the App,
  you consent to the use of cookies in accordance with our Privacy Policy.

19. Third-Party Services

• The App may contain links to third-party websites or services that are not owned or controlled by
  RecoverIQ™ Foundation LLC. The Company is not responsible for the content, privacy policies, or
  practices of third-party services.

20. User-Generated Content

• By submitting any content to the App (e.g., reviews, comments, or forum posts), you grant RecoverIQ™
  Foundation LLC a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and
  distribute the content for marketing, promotional, or other business purposes.

21. Health and Recovery Disclaimer

• The RecoverIQ™ app is not a licensed medical treatment service and does not provide professional
  healthcare, therapy, or medical advice. Any health or recovery-related content within the App is for
  educational purposes only. Always seek the advice of your physician or a qualified healthcare provider
  with any questions you may have regarding a medical condition.

22. Security Breach Disclaimer

• Data Security: While we take reasonable measures to protect your personal information,
  RecoverIQ™ Foundation LLC cannot guarantee the security of any data transmitted through the App
  or stored on our systems. In the event of a data breach caused by hacking, malware, or any malicious
  entities, we are not responsible for any loss, damage, or financial breach to your personal
  information or account. By using the App, you acknowledge and agree that you understand the
  potential risks of using an online service and you waive any liability against RecoverIQ™ Foundation
  LLC for such events.

23. Non-Defamation Clause

• You agree that you will not engage in any form of slander, libel, or defamation against the
  RecoverIQ™ app, its content, owners, affiliates, or any related entities. This includes any negative
  statements or comments made via social media, websites, blogs, or any other public or private
  platform.
• If any such defamatory actions occur, you acknowledge that RecoverIQ™ Foundation LLC reserves
  the right to take legal action, including prosecution, and you may be held liable for damages arising
  from your actions. By accepting these Terms, you agree to abide by this provision and understand that
  any violation may lead to legal consequences.
